Cloud and Subscription services (PaaS, IaaS)

Software as a Service (SaaS), Platform as a Service (PaaS), and Infrastructure as a Service (IaaS) form a layered framework: SaaS for direct consumer access, PaaS for application frameworks, and IaaS for hardware support. As traditional software shifts to cloud-based models, corresponding contracts need to address the unique legal aspects of cloud computing.

PaaS agreements, govern the use of platforms where SaaS applications are developed and hosted. PaaS equips developers with tools for creating, testing, hosting, and maintaining SaaS applications. While PaaS agreements are more technical, they cover essential functions like application hosting, development, testing, deployment environments, and integrated services such as database integration, security, and storage.

IaaS agreements, also known as “hardware as a service” contracts, enable consumers to outsource their hardware requirements to IaaS providers. These providers connect their physical data storage centres or processors to the cloud, with all equipment owned, maintained, and housed by the IaaS supplier. End users access the hardware through the cloud for their operational needs.

Software As A Services (SaaS)

SaaS agreements facilitate the secure delivery of software services to users’ terminals via a pay-per-use model over a network, with processors hosted remotely by the SaaS provider. The key distinction from software licenses is that users aren’t required to host, install, or operate the application from their premises.

A tailored and well drafted SaaS agreement is crucial for setting clear expectations and minimising disputes.

SaaS agreements must comply with various laws and regulations, such as data protection, consumer protection and industry-specific standards.

We can assist you with:

  • Drafting tailored agreements;
  • Compliance and Regulatory guidance;
  • Risk Assessment and Mitigation;
  • Negotiation support;
  • Service Level Agreements;
  • End user Licence Agreements (EULA) including clickwrap;
  • Intellectual Property Protection;
  • Data Security and Privacy Compliance (GDPR); and
  • 9. Dispute resolution.

Software Development

Software development agreements should be tailored to the specific software, client needs, and intended use. They ensure clear expectations, efficient progress, and successful project outcomes. The two main types are traditional waterfall agreements and modern agile agreements.

In a waterfall agreement, development progresses through distinct stages, with each stage completed before the next begins. This method allows for clear early agreement on project scope, minimizing the need for ongoing client involvement and enabling thorough software design from the start.

Agile agreements facilitate collaborative, iterative development, allowing for evolving requirements and solutions. They emphasise adaptive planning, early delivery, and continual improvement, fostering frequent client involvement and a strong sense of ownership throughout the project.

We can assist you with:

  • Drafting and reviewing agreements;
  • Negotiation Support;
  • Risk Assessment and Mitigation;
  • Intellectual Property Protection;
  • Compliance and Regulatory guidance;
  • Escrow arrangements; and
  • 7. Dispute Resolution.
